BY-LAWS

of the

OKLAHOMA ASSOCIATION

OF CONFESSING UNITED METHODISTS

(Adopted 5/26/98)


 ARTICLE I

SECTION I. NAME OF THE ASSOCIATION. The name of the Association is THE OKLAHOMA ASSOCIATION OF CONFESSING UNITED METHODISTS.

SECTION II. PURPOSE. The purpose of the Association is to confess Jesus Christ as Son of God, Savior of the world, and Lord of all creation in our lives, our congregations, and the United Methodist Church in Oklahoma.

SECTION III. AIMS. In furtherance of the purpose of the Association, the Oklahoma Association of Confessing United Methodists is authorized to:

(1) Promote personal and corporate spiritual renewal within the United Methodist Church.

(2) Proclaim and defend the apostolic Christian faith based on the full and primary authority of Scripture.

(3) Hold the United Methodist Church accountable for its doctrinal integrity based on the doctrinal standards of the United Methodist Church. These standards are officially stated in the Book of Discipline as the Articles of Religion of the Methodist Church, the Confession of Faith, John Wesley’s Standard Sermons, and Wesley’s Notes Upon the New Testament.

(4) Support and promote Biblically based and Holy Spirit-empowered ministries within our communities, state, nation and world in the name of Jesus Christ.

(5) Network with, support and encourage like-minded members and congregations of The United Methodist church in Oklahoma.

SECTION IV. ACTIVITIES. In furtherance of the purpose of the Association, The Oklahoma Association of Confessing United Methodists intends to engage in the following activities:

(1) Publish non-periodical material of a theological or philosophical nature, sponsor conferences for spiritual inspiration, and use other written or oral means to accomplish the above aims.

(2) Receive and administer funds given for the support of the Association.

(3) It is provided, however, that no part of this fund shall go to the benefit of any private individual.

(4) The Association shall not engage, other than as an insubstantial part, in activities which are not in furtherance of its purposes and aims.

(5) The association shall distribute such part of the current income or past accumulation of income as is necessary to avoid unreasonable accumulation of income within the meaning of Section 504 of the Internal Revenue Code.

(6) Upon the dissolution of the Association, the Executive Council shall, after paying or making provision for the paying of all the liabilities of the organization, dispose of the assets of the Association exclusively for the purposes of the Association in such manner, or to such organization or organizations, for charitable or religious purposes as shall at the time qualify as an exempt organization under Section 505(c) of the Internal Revenue Code as the Executive Council shall determine.

(7) The Association may take any other action permitted by law to further the purpose and aims of the Association.


ARTICLE II

Members

SECTION I. CLASSES OF MEMBERS. The corporation shall have three (3) classes of members. The designation of such class and qualifications of the members of such class shall be as follows:

A. Clergy Members.

QUALIFICATIONS:

(1) Ordained minister or licensed local pastor in the Oklahoma Conference of the United Methodist Church;

(2) Personal commitment to Jesus Christ as Savior and Lord;

(3) Be a signatory to "A Confessional Statement of the Confessing Movement within the United Methodist Church" (1995).

(4) Assent to the purpose and aims of the Association.

 

B. Lay Members.

QUALIFICATIONS:

(1) Professing member of a local church in the Oklahoma Conference of the United Methodist Church;

(2) Personal commitment to Jesus Christ as Savior and Lord;

3) Be a signatory to "A Confessional Statement of the Confessing Movement within the United Methodist Church" (1995).

(4) Assent to the purpose and aims of the Association.

 

C. Member congregations.

QUALIFICATIONS:

(1) A local church legally constituted in the Oklahoma Conference of the United Methodist Church;

(2) Be a signatory to "A Confessional Statement of the Confessing Movement within the United Methodist Church" (1995), through formal action by the Administrative Board, Administrative Council or Charge Conference.

(3) Assent to the purpose and aims of the Association.

 

SECTION II. APPLICATION FOR MEMBERSHIP. Members of all three classes are received when the prospective member meets all the qualifications for that class of membership and completes the appropriate membership application.

SECTION III. VOTING RIGHTS. Clergy members and lay members shall each be entitled to one vote on each matter submitted to a vote of the members.

SECTION IV. TERMINATION OF MEMBERSHIP. Membership may be terminated by filing a written resignation with the Secretary. Membership shall lapse if the member fails to meet the financial obligations which may be imposed by the Association or ceases to meet item #1 of the applicable membership qualifications.

SECTION V. REINSTATEMENT. Upon written request signed by a former member and filed with the Secretary, a former member who meets all the qualifications for that class of membership shall be reinstated.


ARTICLE III

Organizational Structure

SECTION I. OFFICERS. The elected officers of the Association shall be a President, a Vice- President, a Secretary, a Treasurer.

SECTION II. ELECTION AND TERM OF OFFICE.

(1) Officers shall be clergy or lay members of the Association.

(2) The officers of the Association shall be elected annually by majority vote of the membership at its _________________ meeting. Each officer shall hold office until his or her successor shall have been duly elected.

(3) Officers may succeed themselves.

 

SECTION III. EXECUTIVE COUNCIL.

(1) There shall be an Executive Council, consisting of the President, Vice President, Secretary, Treasurer, plus three additional clergy and three additional laity elected at the _________________ meeting.

(2) The Executive Council shall administer the business and carry out the purpose and aims of the Association between membership meetings.

(3) The Executive Council shall meet at least quarterly.

(4) Additional meetings of the Executive Council may be called by the President or not less than one-quarter (1/4) of the members of the Executive Council.

SECTION IV. ADDITIONAL STRUCTURE. The Executive Council may appoint such other officials, committees, or task forces as it shall deem desirable. Such persons shall have the authority and perform the duties prescribed, from time to time, by the Executive Council. Such persons shall be accountable to the Executive Council for their work.

SECTION V. VACANCIES. A vacancy in any office because of death, resignation, removal, disqualification or otherwise, may be filled by the Executive Council for the unexpired portion of the term.


ARTICLE IV

Membership Meetings

SECTION I. REGULAR MEETINGS. There shall be at least two membership meetings per year, ___________________________________. The date and time of the membership meetings may be changed by the Executive Council on ten (10) to forty (40) days' notice.

SECTION II. SPECIAL MEETINGS. Special meetings of the members may be called by the Executive Council, with at least a ten (10) days' notice.

SECTION III. QUORUM. A quorum shall consist of all those members present and voting at a duly called meeting.

SECTION IV. RULES OF ORDER. All meetings shall be conducted according to Robert's' Rules of Order.


ARTICLE V

Finances

SECTION I. FINANCIAL SUPPORT. Every member (clergy, lay, or congregation) of the Association shall be required to support it with an annual financial contribution as follows:

(1) Clergy and lay members shall give a minimum of $15.00 per year.

(2) Member congregations shall contribute a free will offering each year.

 

SECTION II. BUDGET. The Executive Council shall present an annual budget for the approval of the membership at its ___________________ meeting.


ARTICLE VI

Amendments

These By-Laws may be altered, amended or repealed and new By-Laws may be adopted by a two-thirds (2/3) majority of the members present at any regular meeting or at any special meeting, provided that at least ten (10) days' written notice is given of intention to alter, amend or repeal or to adopt new By-Laws at such meeting.
